By accessing or using confidere.biz (the "Site"), including any content, functionality, and services offered on or through the Site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site.
These Terms apply to all visitors, users, and others who access or use the Site, including the AI-powered chatbot ("Chatbot") and any consulting-related pages.
2. Description of Services
Confidere ("we," "us," or "our") operates confidere.biz, a website offering information about business systems consulting, applied AI implementation, website development, and workflow automation services. The Site includes an AI-powered chatbot that provides general informational content related to business operations and systems optimization.
3. AI Chatbot Disclaimer
This is critical — please read carefully.
The Chatbot on this Site is powered by artificial intelligence and provides general business information and guidance only. Chatbot responses:
- Are not professional consulting services. The Chatbot does not replace qualified business consultants, accountants, attorneys, financial advisors, or other licensed professionals.
- May contain errors, inaccuracies, or outdated information. AI systems can produce incorrect or incomplete responses. We make no guarantees about the accuracy, completeness, or reliability of any Chatbot output.
- Should not be relied upon as the sole basis for any business decision. You must independently verify all information, recommendations, and calculations provided by the Chatbot with qualified professionals before implementing any changes to your business.
- Are generated in real-time by third-party AI models. We do not manually review or approve individual Chatbot responses before they are delivered to you.
By using the Chatbot, you acknowledge that you understand these limitations and accept full responsibility for any actions you take based on Chatbot output.
4. No Guarantees or Warranties
The Site and all content, including Chatbot responses, are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
We specifically disclaim all warranties, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Site will be uninterrupted, timely, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of any content
- Warranties that results obtained from the use of the Site will be accurate or reliable
- Warranties that any ROI calculations, cost estimates, performance scores, or other numerical outputs produced by the Chatbot will be accurate
No advice or information, whether oral or written, obtained from us or through the Site shall create any warranty not expressly stated in these Terms.
5. No Professional Relationship
Your use of the Site and Chatbot does not create any of the following relationships between you and Confidere:
- Consultant-client relationship
- Attorney-client relationship
- Financial advisor-client relationship
- Any fiduciary or professional duty of care
Chatbot interactions are informational in nature. A formal consulting engagement with Confidere exists only when both parties have signed a separate, written agreement that explicitly defines the scope, terms, and fees of such engagement.
6. User Responsibilities
As a user of this Site, you agree that:
- You are solely responsible for your own business decisions, regardless of any information provided by the Chatbot or the Site.
- You will verify all recommendations with qualified professionals before implementation.
- You will not provide sensitive, confidential, or proprietary business information through the Chatbot that you are not comfortable being processed by third-party AI services.
- You will not enter personal data of third parties (employees, customers, etc.) into the Chatbot without their consent.
- You are at least 18 years of age or the age of majority in your jurisdiction.
7. Acceptable Use
You agree not to:
- Use the Site or Chatbot for any illegal, fraudulent, or unauthorized purpose
- Attempt to reverse engineer, decompile, or extract the source code of any software or AI models used on the Site
- Use automated scripts, bots, or scraping tools to access or collect data from the Site
- Intentionally overload, disrupt, or interfere with the Site's infrastructure
- Attempt to bypass any security measures or access restrictions
- Use the Chatbot to generate content that is illegal, harmful, harassing, or violates the rights of others
- Impersonate another person or entity in your interactions with the Chatbot
- Resell, redistribute, or commercially exploit Chatbot outputs without our written permission
8. Intellectual Property
Our property: The Site, including its design, code, text, graphics, logos, and overall structure, is owned by Confidere and protected by applicable intellectual property laws. The underlying AI models and algorithms are owned by their respective providers.
Your property: You retain ownership of any original content or information you submit to the Chatbot. By submitting content, you grant us a non-exclusive, royalty-free license to use that content for the purpose of providing and improving our services.
Chatbot outputs: Responses generated by the Chatbot may contain information derived from publicly available data, AI training data, and your inputs. These responses are provided for your personal or internal business use. You should not represent Chatbot outputs as professional consulting deliverables from Confidere.
9. Third-Party Services & API Usage
Our Chatbot and certain Site features rely on third-party services, including:
- OpenAI: Chat messages are processed through OpenAI's API to generate responses. Your inputs are sent to OpenAI's servers for processing. Please review OpenAI's Terms of Use and Privacy Policy.
- Vercel: Our Site is hosted on Vercel's infrastructure.
- Google Analytics: We use analytics to understand how the Site is used.
- Supabase: We use Supabase for data storage and backend services.
We are not responsible for the practices, policies, or availability of these third-party services. Your use of the Site constitutes your acknowledgment that your data may be processed by these providers.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Confidere, its owner, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising from your use of the Site shall not exceed the greater of (a) the amount you paid us for services in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
- We shall not be liable for any damages arising from your reliance on Chatbot outputs, including but not limited to business decisions made based on AI-generated advice, calculations, or recommendations.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Confidere, its owner, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Site or Chatbot
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any business decisions you make based on Chatbot outputs or Site content
- Any content or data you submit through the Site
12. Termination
We reserve the right to suspend or terminate your access to the Site at any time, for any reason, without prior notice or liability. This includes, but is not limited to, violations of these Terms or abusive use of the Chatbot.
Upon termination, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall survive.
13. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any disputes arising from or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New Jersey. You consent to the personal jurisdiction of such courts and waive any objection to venue.
14. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes take effect when posted to this page with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
For material changes, we will make reasonable efforts to provide notice, such as updating the date at the top of this page.
